Terms of Service

1. Acceptance of Terms

By accessing or using the website, application, API, and services provided by Hearflow.io ("Hearflow," "we," "us," or "our"), you ("Customer," "User," or "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Definitions

"Services" refers to the Hearflow product discovery platform, including the web interface, API, and any related support services.

"Customer Data" refers to any data, feedback, text, files, or information that you or your end-users submit to the Services (e.g., product feedback, roadmaps, customer logs).

"Authorized User" means an individual (employee, contractor, or agent) authorized by the Customer to use the Services under the Customer’s account.

3. Account Registration & Security

3.1. Eligibility

You must be at least 18 years old to use the Services. By registering, you warrant that your registration information is accurate, current, and complete.

3.2. Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account. Hearflow is not liable for any loss or damage arising from your failure to protect your credentials.

4. Subscription, Billing, and Payments

4.1. Subscription Plans

Hearflow offers both free and paid subscription plans. Specific features, limits (e.g., number of seats, volume of feedback), and pricing are detailed on our Pricing Page.

4.2. Billing Cycle

Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selection. Your subscription will automatically renew at the end of each billing cycle unless canceled.

4.3. Payment Methods

You must provide a valid credit card or approved payment method. By providing this information, you authorize us (and our third-party payment processors) to charge your payment method for all fees incurred.

4.4. Refunds

All fees are non-refundable, except as required by applicable law or as specifically set forth in these Terms. We do not provide refunds for partial months or unused services.

4.5. Price Changes

We reserve the right to modify our pricing. We will provide at least 30 days' notice before any price change takes effect on your next billing cycle.

5. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any local, state, national, or international law.
  • Upload or transmit viruses, malware, or malicious code.
  • Attempt to reverse engineer, decompile, or hack the Services.
  • Submit sensitive personal data (such as health data or government ID numbers) unless the Service is explicitly configured and legally covered to handle such data (e.g., HIPAA compliance).
  • Resell, lease, or sublicense the Services to a third party without our written consent.

6. Intellectual Property Rights

6.1. Hearflow Ownership

We own all rights, title, and interest in and to the Services, including our software, code, designs, logos, and documentation. These Terms do not grant you any rights to our trademarks or brand elements.

6.2. Customer Data Ownership

You retain all ownership rights to your Customer Data. You own your product roadmaps, insights, and the feedback you collect.

6.3. License to Host Data

By using the Services, you grant Hearflow a worldwide, non-exclusive, royalty-free license to access, use, copy, reproduce, process, and display your Customer Data solely for the purpose of providing and improving the Services (e.g., to parse feedback and generate insights).

7. Confidentiality

Given the nature of product discovery, we understand that you may store sensitive product plans on Hearflow.

Definition: "Confidential Information" means all non-public information disclosed by one party to the other.

Obligation: Hearflow agrees to hold your Confidential Information in strict confidence and not to disclose it to third parties, except as required to provide the Services (e.g., to our cloud hosting provider, who is also bound by confidentiality).

Exclusions: Confidential Information does not include information that is public knowledge, was known prior to disclosure, or is independently developed.

8. Third-Party Integrations

Hearflow integrates with third-party tools (e.g., Slack, Jira, Salesforce).

No Warranty: We do not warrant or support these third-party services.

Data Sharing: If you enable an integration, you grant us permission to share your data with that third party as required for the integration to function. We are not responsible for how those third parties handle your data.

9. Termination

9.1. Cancellation by You

You may cancel your subscription at any time via your account settings. Your access will continue until the end of the current billing period.

9.2. Termination by Us

We may suspend or terminate your account if:

  • You materially breach these Terms.
  • You fail to pay fees when due.
  • We are required to do so by law.

10. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. Hearflow expressly disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, secure, or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

HEARFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO HEARFLOW IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold Hearflow harmless from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Services, your Customer Data, or your violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Services. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
